Case Study

Family-Owned Fitness and Wellness Business

Case study

The founder of a successful family-owned fitness and wellness business wanted to transition ownership to a son who was already working in the company and preparing to assume greater leadership responsibility. Although the successor had been identified, the family needed help determining how the transfer should work.

The founder wanted to receive fair recognition for the business she had built, while giving her son an achievable path to ownership without requiring significant personal capital or placing a fixed debt burden on him or the company.

Challenges
  • Separating the son’s compensation for his operating role from the economics of acquiring ownership.
  • Protecting the value and historical earnings created by the founder.
  • Avoiding a fixed payment obligation that could strain the business during a slower year.
  • Rewarding profitable growth rather than simply transferring ownership based on time or tenure.
  • Creating clear governance protections while management responsibility gradually shifted to the next generation.
Why did the owner want to sell?

The founder had spent decades building the company and wanted to create a thoughtful path toward retirement while keeping the business in the family. Her son was enthusiastic about growing the company, but the family wanted the ownership transition to be earned, financially sustainable, and fair to both generations.

Catapult's Role and the Process

Because the family had already identified the buyer, Catapult used its Catapult Connect service to focus on valuation, structure, negotiation of the business terms, and transition planning rather than conducting a broad sale process.

Catapult first evaluated the company’s historical financial performance and established a reasonable framework for the family transfer. We then developed and compared multiple ownership-transfer options, including a traditional seller-financed structure and a performance-based earn-in model.

The seller-financed option provided a familiar repayment structure, but it also created a fixed obligation regardless of business performance. Under that approach, a weaker year could force the next-generation owner to choose between making payments, reducing compensation, delaying investments, or cutting expenses.

The performance-based option tied ownership directly to profits generated above an agreed historical baseline. The founder would retain the economic benefit of the business she had already built, while the son would receive ownership credit for incremental profitable growth. Stronger performance would accelerate the transition; weaker performance would extend the timeline without creating a default or cash-flow crisis.

After reviewing both options and modeling several performance scenarios, the family selected the performance-based earn-in. Catapult also developed governance milestones, distribution limitations, annual financial-review procedures, and protections for major business decisions during the transition period.

Results

The family reached alignment on a clear, practical succession framework that protects the founder while motivating the next generation. The selected structure:

  • Provides the son with a defined path to ownership without requiring substantial personal acquisition debt.
  • Allows the ownership timeline to adjust automatically based on actual business performance.
  • Rewards profitable growth and disciplined reinvestment in the company.
  • Transitions management authority and governance rights as ownership is earned.
  • Creates agreed business terms that the family’s attorney and CPA can translate into the appropriate legal and tax documents.

This engagement demonstrates how Catapult Connect helps business owners when the buyer is already known. Identifying the successor is only the beginning. Catapult helps the parties evaluate alternatives, structure a fair transaction, anticipate risks, and create a transition the business can support.
